Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and related services offered by CoffeeChat (“CoffeeChat,” “we,” “us,” or “our”) (collectively, the “Services”). By creating an account, accessing, or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

Our Privacy Policy explains how we collect and use personal information. By using the Services, you also acknowledge the Privacy Policy.

1. The Services

CoffeeChat provides tools to help individuals publish availability, share booking links, coordinate meetings (including in-person or virtual conversations), and manage related contact or note-taking features. We may modify, suspend, or discontinue parts of the Services (including features or integrations) with reasonable notice where practicable. We do not guarantee uninterrupted or error-free operation.

2. Eligibility and accounts

You must be able to form a binding contract in your jurisdiction and meet any minimum age required by applicable law (typically at least 13 years old, or older where a higher age applies). You are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly at privacy@coffeechat.click if you suspect unauthorized access.

We may investigate and suspend or terminate access if we reasonably believe you have violated these Terms or pose a risk to the Services or other users.

4. Your content and license to us

You retain ownership of content you submit to the Services (“Your Content”), such as profile information, availability settings, messages you send through booking flows, and meeting notes you choose to store. You grant CoffeeChat a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, and distribute Your Content solely to operate, improve, secure, and provide the Services to you and, where you make content public (for example, a public booking page), to display it to visitors as you direct.

You represent that you have the rights necessary to grant the above license and that Your Content does not violate law or third-party rights. We may remove content that violates these Terms or that we are required to remove by law.

5. Third-party services and integrations

The Services may integrate with third-party products (for example, calendar or authentication providers). Your use of those services is subject to the third party’s terms and privacy policy. CoffeeChat is not responsible for third-party services. If you connect a third-party account, you authorize us to access and use information from that account as described in our Privacy Policy and as permitted by your settings with the provider.

6. Fees

Certain features may be free or offered on a paid basis. If we charge fees, we will present pricing and billing terms before you incur charges. Unless stated otherwise, fees are non-refundable except as required by law. We may change fees with reasonable advance notice.

7. Intellectual property

The Services, including software, branding, and documentation, are owned by CoffeeChat or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you. You may not use our name or logos without our prior written consent.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. YOU USE THE SERVICES AT YOUR OWN RISK. Some jurisdictions do not allow certain disclaimers; in those jurisdictions, disclaimers apply to the fullest extent permitted by law.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COFFEEAPP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), IF YOU HAVE NOT HAD PAYMENT OBLIGATIONS.

The limitations in this section apply whether the claim is based in contract, tort (including negligence), strict liability, or any other theory. Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law.

10. Indemnity

You will defend, indemnify, and hold harmless CoffeeChat and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of Your Content, your use of the Services in violation of these Terms, or your violation of law or third-party rights.

11. Term and termination

These Terms remain in effect while you use the Services. You may stop using the Services at any time. We may suspend or terminate your access if you materially breach these Terms, if we are required to do so by law, or if we discontinue the Services. Provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, indemnity, and governing law) will survive termination.

12. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. You and CoffeeChat agree that the state and federal courts located in Delaware will have exclusive jurisdiction for disputes arising out of or relating to these Terms or the Services, subject to any mandatory rights you may have under the laws of your country of residence.

13. Changes

We may update these Terms from time to time. We will post the revised Terms on this page and update the effective date. If changes are material, we will provide additional notice as appropriate (for example, by email or in-product notice). Continued use after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services.
